Dennis W. Winkler has been practicing law since 1993 and he is Of Counsel to Bryce Downey & Lenkov LLC. Mr. Winkler focuses his practice in the areas of commercial and business transactions, real estate, real estate development, and employment law, representing privately held companies and their owners, banks and other mezzanine lenders.
Mr. Winkler represents various companies and entities in a “general counsel” capacity by handling many types and varieties of business law issues. Mr. Winkler counsels clients on legal matters relating to the formation, operation and governance of commercial entities including corporations, partnerships, limited liability companies, and Series LCCs. In addition, Mr. Winkler has been involved in complex commercial transactions including stock purchase agreements, joint ventures and asset purchase agreements, as well as conducting related due diligence for such transactions.
Mr. Winkler represents owners, developers, banks, investors, landlords and tenants in all forms of real estate transactions, including negotiation and preparation of contracts for acquisition, disposition, leasing, as well as, negotiation and drafting of loan documentation for borrowers and lenders. In addition, Mr. Winkler is actively involved in the construction and development of residential and mixed-use communities.
Mr. Winkler has served as counsel to financial institutions and other finance related entities, as well as borrowers. Mr. Winkler has represented clients in a wide range of commercial and real estate financing transactions, involving both traditional and creative lending methods.
Mr. Winkler has represented borrowers and lenders in securing and documenting various types of loan transactions and financial accommodations, forbearance agreements, loan workouts, as well as, general debt and credit counseling.
Mr. Winkler has consulted with clients regarding hiring and termination procedures, Americans With Disabilities Act, Age Discrimination in Employment Act, Family and Medical Leave Act and issues involving employment discrimination, harassment and retaliatory discharge. Mr. Winkler has represented clients before the Department Of Employment Security, Department of Labor, and the departments of human rights and fair employment practices commissions of various states and municipalities.
Mr. Winkler has consulted with clients seeking to obtain and maintain certification as a minority, female-owned or disadvantaged business and has prepared and submitted appropriate applications for certifications with various governmental units.
